Official Rules


By entering The Next Big Idea competition described herein (“Competition” or “TNBI”), you (“Participant(s)”) agree that your entry and the personal information collected from you in connection with this Competition will be shared with the promoter, PepsiCo, Inc., and its subsidiaries and affiliates ("Promoter" or “PepsiCo”) and accept these official rules set forth herein (the "Rules”).

  1. The Competition is open to all full-time employees of PepsiCo Inc., its subsidiaries and affiliates who receive an invitation. The members for the team that is managing the TNBI cannot participate in the competition.


  2. Eligibility is by personal invitation only. To enter, participants must accept their personal invitation and follow a link to the game website. Entries will not be accepted unless submitted via this website in accordance with its rules as set out on the website. Entries are submitted by teams of 3 to 5 participants as defined on the website. Participants must be active employees of PepsiCo in order to win and/or to take part in any resulting PepsiCo project. Participation in TNBI (including but not limited to submitting a winning entry) does not constitute or represent a contract of employment, express or implied, and does not guarantee employment for any period of time.


  3. The opening date for receipt of entries is 27th June 2022 and the closing date for receipt of entries is 16th September 2022. PepsiCo may extend or shorten this period in its discretion. Any change in the timeline will be informed to the participants through official mail id.

  4. Participation in TNBI is voluntary and not required. Time spent on participants’ TNBI entries generally should not exceed 2 hours/week and must not interfere with performance of their normal job duties. For employees who record hours worked, all hours worked (including hours spent on TNBI) must be reported on their timesheets, and any overtime hours must be approved in advance by their manager.


  5. The Competition is divided into three rounds. All entries must be made and all presentations will be conducted in the English language, as will all communication between the Promoter and Participants. Multiple entries by a participant or a team may be accepted. No entries will be accepted from non-employees or non-invitees to the challenge.


  6. The opening date for receipt of entries is 27th June 2022 and the closing date for receipt of entries is 16th September 2022. Failure to complete a step by the required date may, at the Promoter’s sole discretion, lead to disqualification. The decisions of the Promoter shall be final and binding. Participants may not change any team members after registration.


  7. Participants are expected to make use of the website, intranet, Zoom, and other such facilities available to PepsiCo employees to work as a team. As such, participants should not incur expenses as a result of their participation in TNBI, and such expenses are not authorized and will not be reimbursed. The winning idea will form the basis of an actual PepsiCo project and appropriate time and resources will be made available to the Participants to enable this to happen. These resources may be provided at sole discretion of the Promoter after the winners are declared.


  8. Participants will be expected at all times when participating in TNBI to comply with these Rules and PepsiCo Global Code of Conduct and in particular to show respect in the workplace, Act with Integrity in the marketplace and ensure ethics in our business relationships. PepsiCo reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Competition; or to be acting in any manner deemed by PepsiCo to be in violation of the Official Rules or PepsiCo policy; or to be acting in any manner deemed by PepsiCo to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. Any individual who violates PepsiCo policy and/or engages in inappropriate conduct described herein, will be subject to disciplinary action up to and including termination of employment.


  9. Promoter assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Competition; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Competition; (d) inaccessibility or unavailability of the Internet or the Site or any combination thereof; or (e) any injury or damage to Participant’s or to any other person's computer which may be related to or resulting from any attempt to participate in the Competition or download any materials in the Competition. The Promoter reserves the right at its sole discretion to cancel, terminate, modify, delay or suspend the Competition, in whole or in part, for any reason and without notice. The Promoter is not liable in the event that any portion of the Competition is cancelled, terminated, modified, or suspended.


  10. The Promoter reserves the right to disqualify incomplete, altered or illegible entries. The disqualification may happen at the sole discretion of the Promoter. No responsibility will be accepted for entries lost, damaged or delayed. No responsibility will be taken for technical, telecommunication or website error; proof of entry is not proof of receipt.


  11. Once the deadline for entries has passed, a number of finalist Participants will be selected by a group of senior PepsiCo judges and invited to attend an event where the winning idea will be announced.


  12. At the date these Terms and Conditions are published there are no guaranteed prizes in this game. Any prize(s) to be won will be determined at the sole discretion of the Promoter before the Competition closes. Promoter makes no representation or warranty of any kind concerning the appearance, performance or safety of any prize. Winner bears all risk of loss or damage to prize after it has been delivered. Any personal prizes will be non-transferable, non-refundable and cannot be exchanged for any cash alternatives in whole or in part. The decisions of the Promoter are final and binding.


  13. Participants will not be entitled to any additional payment in return for their participation in this Competition and all intellectual property rights will belong to PepsiCo. By taking part in this competition, Participant acknowledges that all inventions, discoveries, improvements, developments, software, technical information, writings, skill and know-how, patentable or unpatentable, and other works which they make, discover or develop in the course of, as a result of, or in connection with this Competition, whether or not during working hours and whether or not on PepsiCo premises (the "Subject Developments"), are the property of PepsiCo and Participant will promptly disclose them to PepsiCo in writing and in reasonable detail. Participant agrees and hereby assigns, transfers, and conveys Participant’s entire right, title, and interest in and to all such works to PepsiCo or its designee as its sole and exclusive property throughout the world. Participants will, at PepsiCo’s request and cost, but without any consideration other than any prize as referenced in paragraph 12 above, execute all documents and do all acts that PepsiCo deems necessary or desirable to perfect its title and confirm in PepsiCo all right, title and interest in and to the Subject Developments and to enable PepsiCo to procure, enforce and maintain patents, copyrights and other applicable statutory protection on the Subject Developments throughout the world.


  14. Participants grant Promoter and its related, affiliated and subsidiary companies an irrevocable assignment and transfer any and all rights, title and interest in the Submission, including, without limitation, all ideas, expression of ideas or intellectual property. The transfer of ownership will include, without limitation, the irrevocable right to reproduce, prepare derivative works, combine with other works, alter, translate, distribute copies, display, perform, license any Submission, and all rights therein, in the name of Promoter and its related, affiliated and subsidiary companies throughout the world in perpetuity and in any media now or later known. Additionally, except where prohibited by law, each Participant grants (and agrees to confirm this grant in writing, if requested) permission for Promoter and those acting under their respective authority to use his/her name, photograph, biography, voice and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation.


  15. The names of the winners will be announced during the final event and communicated broadly through an official mail.


  16. Information collected from entrants is subject to the Promoter's Privacy Policy, which can be found at http://www.pepsico.com/Legal/PrivacyPolicy. Participants should be aware that personally-identifiable information collected by the Promoter in connection with the Competition and that their personal information may be transferred to the United States.


  17. Except where prohibited, Participant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Competition or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the state of New York or the appropriate New York State Court (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Competition, but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Promoter in connection with the Competition, shall be governed by, and construed in accordance with, the laws of the State of New York.


  18. All participants assume all risk in registration and participation in this Competition. Neither PepsiCo, Inc. or any of its subsidiaries shall be responsible for any errors, misstatements, inaccuracies or omissions regarding content and is/are not responsible for any personal injury or other liability associated with participation.
